If any doubt or ambiguity arises in the interpretation of a document, the rule requires that the doubt or ambiguity should be resolved against the party who drafted it. For instance, a defendant who claims that a clause in a contract that he drafted exempts him from liability can expect that any ambiguity in the terms of the clause will be resolved against him. The expression derives from the Latin: verba chartarum fortuis accipiuntur contra proferentum, the words of a contract are construed more strictly against the person proclaiming them. |
